Please read these Terms of Service carefully before accessing or using ClassNex. By creating an account, accessing, or using the Service, you agree to be bound by these Terms.
1. Introduction
These Terms of Service ("Terms") govern access to and use of the ClassNex school management platform.
ClassNex is a software product and service operated and provided by ProHub Digital Solutions, a business registered in Africa.
ClassNex is designed to help educational institutions manage school administration, students, guardians, users, classes, academic information, fees, invoices, payments, expenses, communications, and related administrative activities.
ClassNex is intended primarily for schools and educational institutions across Africa and may be used by customers in different African countries, subject to applicable laws, regulations, contractual requirements, and the availability of particular features or services in the relevant country.
These Terms form an agreement between you and ProHub Digital Solutions regarding your use of ClassNex.
By creating an account, accessing, or using ClassNex, you agree to these Terms.
If you are using ClassNex on behalf of a school or other educational institution, you represent and warrant that you have the authority to accept these Terms on behalf of that institution.
If you do not agree to these Terms, you must not access or use ClassNex.
2. About ClassNex and ProHub Digital Solutions
ClassNex is a product, software platform, and service operated by ProHub Digital Solutions.
Where these Terms create contractual rights or obligations, those rights and obligations are between the relevant customer or user and ProHub Digital Solutions.
ProHub Digital Solutions may use the ClassNex name, branding, website, software, documentation, and related materials in connection with providing the Service.
3. African and International Availability
ClassNex is intended to support schools and educational institutions operating in countries across Africa.
The availability of particular ClassNex features, payment methods, communication services, integrations, hosting arrangements, and other functionality may vary by country.
This may depend on:
- applicable laws and regulations;
- availability of third-party service providers;
- payment infrastructure;
- telecommunications infrastructure;
- regulatory requirements;
- technical limitations;
- local business requirements; and
- the applicable subscription or commercial agreement.
ProHub Digital Solutions may expand ClassNex to additional African countries and may modify or discontinue particular country-specific features where reasonably necessary to comply with applicable requirements or maintain the Service.
Nothing in these Terms represents that every ClassNex feature is available in every African country.
4. Eligibility and Authority
ClassNex is intended primarily for use by schools, educational institutions, their authorized administrators, teachers, staff, students, guardians, and other authorized users.
You must:
- provide accurate information when creating or using an account;
- maintain the confidentiality of your login credentials;
- use the Platform only for lawful purposes;
- have the necessary authority to access the information you access through the Platform; and
- comply with applicable laws and regulations.
Schools are responsible for ensuring that individuals given access to their ClassNex account are properly authorized.
Where a person accepts these Terms on behalf of a school or organization, that person represents and warrants that they have authority to bind that school or organization to the applicable agreement.
5. School Accounts, Roles, and Permissions
A school account may include multiple users with different roles, responsibilities, and levels of access.
Depending on the school's subscription, configuration, and the features available to the school, ClassNex may support roles including:
- Super Admin;
- System Administrator;
- Principal;
- Vice Principal;
- Registrar;
- Accountant;
- Bursar;
- Admin;
- Cashier;
- Class Teacher;
- Subject Teacher;
- Guardian; and
- other authorized user roles that may be introduced by ProHub Digital Solutions.
Each role may have different levels of access to information, modules, functions, and actions within ClassNex.
ClassNex defines and maintains the permissions associated with each available role. The school does not independently create, modify, or define the underlying permissions associated with a ClassNex role.
The school may create authorized users and assign those users to the roles made available by ClassNex. When a user is assigned to a particular role, the user receives the permissions associated with that role as defined by ClassNex.
The detailed roles, responsibilities, and permissions applicable to the Platform are described in the official ClassNex documentation and user manual, available at docs.classnex.com . The documentation may be updated from time to time as ClassNex evolves.
The school is responsible for:
- maintaining accurate school information;
- creating and managing authorized users;
- assigning users to roles appropriate to their responsibilities;
- reviewing the roles assigned to users periodically;
- protecting account credentials;
- ensuring that users only receive roles appropriate to their responsibilities;
- ensuring that information entered into ClassNex is accurate and lawful;
- promptly disabling or removing users who are no longer authorized to access the school's ClassNex account; and
- ensuring that its use of ClassNex complies with applicable laws and regulations.
ClassNex provides technical tools designed to help schools manage users and control access to school information through its role-based access-control system. The school is responsible for determining which individuals should have access to its ClassNex account and which available ClassNex role is appropriate for each individual.
The school is responsible for reviewing the permissions associated with a role before assigning that role to a user. The school should select a role based on the user's responsibilities and the level of access that the user should have.
ProHub Digital Solutions may add, remove, modify, or otherwise change available roles and the permissions associated with those roles as ClassNex evolves, including to introduce new functionality, improve security, address operational requirements, or comply with applicable law.
ProHub Digital Solutions does not guarantee that the roles and permissions available within ClassNex will satisfy every school's specific internal governance, regulatory, or operational requirements. The school remains responsible for determining whether the available ClassNex roles and permissions are appropriate for its particular needs and legal obligations.
6. Student and Guardian Information
ClassNex may allow schools to enter and manage information relating to students and guardians, including names, contact information, student identification information, enrollment information, academic information, attendance information, financial information, payment information, guardian relationships, and other information required for school administration.
The school is responsible for ensuring that it has the appropriate legal authority and lawful basis to collect, use, and disclose such information through ClassNex.
Schools must comply with applicable data-protection, privacy, child-protection, education, financial, and other laws applicable to their jurisdiction.
This may include national and regional requirements applicable in the African country in which the school operates.
Where personal information is entered into ClassNex by or on behalf of a school, the respective responsibilities of the school and ProHub Digital Solutions may be further defined in a separate School–ClassNex Data Processing Agreement ("DPA").
7. ClassNex as a Technology Service Provider
For information entered into ClassNex by a school for the purpose of operating the school's account, ProHub Digital Solutions generally provides technology and data-processing services on behalf of the school.
The school generally determines:
- what information is collected;
- why the information is collected;
- which individuals' information is entered into the Platform;
- how the information is used for school administration; and
- which authorized users may access it.
ProHub Digital Solutions processes such information to provide, maintain, secure, support, and operate the Service and as otherwise permitted by applicable law and the applicable agreement with the school.
The specific responsibilities of the school and ProHub Digital Solutions concerning personal information may be described in the applicable Data Processing Agreement.
ProHub Digital Solutions may process certain information separately for its own legitimate business purposes, including account administration, billing, security, fraud prevention, customer support, legal compliance, service operation, and improvement, as described in the ClassNex Privacy Policy.
8. Acceptable Use
You must not use ClassNex to:
- violate any applicable law or regulation;
- gain unauthorized access to another person's account or information;
- impersonate another person;
- attempt to bypass security controls;
- introduce malicious software, viruses, or harmful code;
- interfere with the operation, security, or availability of the Platform;
- probe, scan, or test the vulnerability of the Platform without authorization;
- access information that you are not authorized to access;
- use the Platform to commit fraud or other unlawful activity;
- misuse payment functionality;
- upload unlawful, defamatory, fraudulent, misleading, or malicious content;
- interfere with another user's access to the Platform;
- use automated methods to access the Platform in a manner that could materially interfere with its operation;
- copy, reproduce, redistribute, or commercially exploit ClassNex materials without authorization; or
- reverse engineer, decompile, disassemble, or attempt to obtain the source code of the Platform except where such restriction is prohibited by applicable law.
ProHub Digital Solutions reserves the right to investigate suspected violations of these Terms.
9. User Credentials and Account Security
Users are responsible for keeping their usernames, passwords, authentication information, and other account credentials confidential.
Users must not:
- share passwords with unauthorized individuals;
- permit another person to use their account;
- attempt to use another person's credentials; or
- knowingly allow unauthorized access to the Platform.
You must immediately notify the relevant school administrator and/or ProHub Digital Solutions if you believe that:
- your account has been compromised;
- your password has been disclosed;
- unauthorized access has occurred; or
- you have discovered a security vulnerability.
ProHub Digital Solutions may suspend or restrict an account where reasonably necessary to protect the Platform, users, schools, or data.
10. Fees and Subscription Charges
Where ClassNex is provided under a paid subscription, the applicable school will be responsible for the subscription fees communicated by ProHub Digital Solutions.
Subscription pricing, student limits, billing periods, included features, applicable taxes, and payment requirements may be specified in the school's subscription plan, order, invoice, or separate commercial agreement.
Subscription fees may be denominated in the currency specified by ProHub Digital Solutions or the applicable commercial agreement.
Depending on the customer's country, payment may be made using available local or international payment methods.
Unless otherwise agreed in writing, subscription fees are payable according to the billing terms communicated to the school.
Failure to pay applicable fees may result in suspension or limitation of access after reasonable notice.
ProHub Digital Solutions may change its pricing or subscription plans by providing reasonable notice to affected customers.
Any pricing change will generally apply to a future billing period unless otherwise agreed in writing.
The school remains responsible for any applicable taxes, duties, levies, bank charges, payment-provider charges, or other amounts that may be imposed on its transactions, except where otherwise required by law or agreed in writing.
11. Online Payments
ClassNex may provide schools with functionality that allows guardians or other authorized persons to make payments through integrated third-party payment providers.
Payment transactions may be processed by third-party payment service providers and may be subject to their own terms, conditions, privacy policies, security procedures, fees, and requirements.
Available payment methods may vary by country and may include mobile money, bank payments, cards, electronic transfers, or other payment methods supported by the relevant payment provider.
ProHub Digital Solutions does not control the operation of third-party payment networks.
A payment initiated through ClassNex may remain pending until confirmation is received from the applicable payment provider.
ProHub Digital Solutions does not guarantee that every payment transaction will be successfully completed.
Schools remain responsible for determining the amount owed by a student and for maintaining accurate school financial records.
Where a payment provider is responsible for processing a transaction, disputes concerning the payment-processing service may also be subject to the payment provider's applicable terms and procedures.
12. Third-Party Services
ClassNex may integrate with third-party services, including payment providers, email providers, hosting providers, analytics providers, communications providers, authentication services, monitoring services, and other technology services.
Third-party services may have their own terms, privacy policies, security practices, and requirements.
ProHub Digital Solutions is not responsible for the independent acts, omissions, availability, security practices, or policies of third-party service providers, except to the extent required by applicable law or expressly agreed in writing.
Where ClassNex depends on a third-party service, an interruption or failure of that service may affect the availability or functionality of corresponding ClassNex features.
The availability of particular third-party services may vary depending on the country in which the school operates.
13. School Content and Data
The school retains its rights in information and content that it submits to ClassNex.
The school grants ProHub Digital Solutions the limited rights necessary to host, store, process, transmit, secure, back up, and otherwise handle such information for the purpose of providing and operating the Service.
ProHub Digital Solutions will not sell school-provided student or guardian information as a commercial data product.
ProHub Digital Solutions may use aggregated or appropriately de-identified information for legitimate purposes such as analytics, service improvement, security, performance monitoring, statistical analysis, research, and product development, provided that such information does not reasonably identify an individual.
Nothing in these Terms transfers ownership of a school's underlying student, guardian, employee, academic, financial, or administrative records to ProHub Digital Solutions.
14. Intellectual Property
ProHub Digital Solutions and its licensors retain all rights, title, and interest in and to:
- the ClassNex software;
- the Platform;
- the ClassNex name and branding;
- software code;
- interface designs;
- documentation;
- databases and system architecture;
- features and functionality; and
- other intellectual property associated with ClassNex.
The ClassNex name, logo, branding, software, design, documentation, and related materials may be owned by or licensed to ProHub Digital Solutions.
Except as expressly permitted by these Terms, no right or license is granted to use, reproduce, modify, distribute, sell, sublicense, or commercially exploit ClassNex intellectual property.
You may not remove proprietary notices or attempt to represent ClassNex software, branding, documentation, or materials as your own.
15. Feedback
If you provide suggestions, recommendations, ideas, or feedback concerning ClassNex, you grant ProHub Digital Solutions permission to use that feedback without compensation or restriction for purposes including improving, developing, testing, maintaining, and enhancing the Service.
This does not give ProHub Digital Solutions ownership of confidential school data or personal information merely because such information is included in feedback.
16. Availability and Service Interruptions
ProHub Digital Solutions will make reasonable efforts to keep the Platform available.
However, the Service may occasionally become unavailable because of:
- scheduled maintenance;
- emergency maintenance;
- software updates;
- infrastructure failures;
- telecommunications failures;
- internet outages;
- cybersecurity incidents;
- third-party service failures;
- power failures;
- natural disasters;
- government or regulatory actions;
- regional infrastructure disruptions; or
- circumstances beyond our reasonable control.
ProHub Digital Solutions does not guarantee uninterrupted or error-free operation of the Platform.
Where reasonably practicable, ProHub Digital Solutions may provide notice of planned maintenance that is expected to materially affect availability.
17. Backups and Data Loss
ProHub Digital Solutions may maintain backups of Platform data as part of its operational and security procedures.
However, no backup system can guarantee that data will never be lost, corrupted, damaged, or become temporarily unavailable.
Schools should maintain appropriate copies of critical records where required for their own legal, financial, academic, or operational requirements.
Backup frequency, retention periods, restoration procedures, and other operational details may vary depending on the Service and infrastructure used by ProHub Digital Solutions.
18. Security
ProHub Digital Solutions uses reasonable technical and organizational measures designed to protect information against unauthorized access, loss, misuse, alteration, or disclosure.
These measures may include:
- authentication controls;
- role-based access controls;
- password hashing;
- encryption of sensitive information where appropriate;
- secure communications;
- database access restrictions;
- logging and monitoring;
- security updates;
- access-management controls; and
- other reasonable safeguards appropriate to the Service.
No internet-based system can guarantee absolute security.
Schools and users are also responsible for implementing appropriate security practices within their own organizations, including protecting passwords, devices, accounts, and access credentials.
19. Suspension and Termination
ProHub Digital Solutions may suspend or terminate access where:
- these Terms are materially violated;
- fraudulent or unlawful activity is suspected;
- continued access presents a security risk;
- fees remain unpaid after applicable notice;
- the school requests termination;
- the Service is discontinued;
- required by a payment provider or critical third-party service;
- continued operation is restricted by applicable law or regulatory requirements; or
- suspension or termination is otherwise reasonably necessary to protect the Service, users, schools, or data.
A school may terminate its use of ClassNex in accordance with its applicable subscription or commercial agreement.
Where reasonably practicable, ProHub Digital Solutions may provide notice before suspending an account, except where immediate action is reasonably necessary to protect the Service, users, data, or security.
Where access is suspended, ProHub Digital Solutions may restrict some or all Platform functionality depending on the reason for the suspension.
20. Effect of Termination
Following termination, access to the school's account may be disabled.
Subject to applicable law, contractual requirements, outstanding obligations, and technical requirements, ProHub Digital Solutions may retain or delete information according to its applicable retention procedures.
Schools are responsible for requesting or exporting information they require before account termination where an export facility is available.
Certain information may be retained where necessary to:
- comply with legal obligations;
- resolve disputes;
- enforce agreements;
- prevent fraud;
- maintain security;
- maintain appropriate business records; or
- satisfy other legitimate legal or operational requirements.
Where applicable, the school's Data Processing Agreement may contain additional requirements concerning deletion or return of personal information following termination.
21. Disclaimer
ClassNex is provided as a school-management technology service.
ProHub Digital Solutions does not provide legal, accounting, financial, educational, medical, or other professional advice through ClassNex.
Schools remain responsible for their own administrative, academic, financial, legal, regulatory, and data-protection decisions.
Information, reports, calculations, notifications, balances, and other outputs generated by ClassNex should be reviewed by appropriately authorized school personnel before being relied upon for important decisions.
ClassNex is not a substitute for a school's internal policies, professional advisers, statutory records, accounting systems, or other legally required processes unless expressly agreed in writing.
22. Limitation of Liability
To the maximum extent permitted by applicable law, ProHub Digital Solutions will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the use of or inability to use the Platform.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.
Where legally permitted, ProHub Digital Solutions' aggregate liability arising from the Service will be limited to the amount actually paid by the affected customer to ProHub Digital Solutions for the ClassNex Service during the applicable period specified in the customer's commercial agreement.
Nothing in these Terms is intended to exclude liability for fraud, willful misconduct, or other liability that cannot lawfully be excluded or limited.
23. Indemnification
To the extent permitted by applicable law, a school or user agrees to indemnify and hold harmless ProHub Digital Solutions and its officers, employees, contractors, and service providers from claims, losses, liabilities, damages, and reasonable expenses arising from:
- unlawful use of the Platform;
- violation of these Terms;
- unauthorized access caused by the user's failure to protect credentials;
- content or data submitted by the user or school; or
- violation of another person's rights.
This provision applies only to the extent permitted by applicable law.
24. Changes to These Terms
ProHub Digital Solutions may update these Terms from time to time.
Changes may be made to:
- reflect changes to ClassNex;
- introduce new features or services;
- reflect changes in applicable laws or regulations;
- reflect changes in third-party services;
- address security requirements;
- clarify contractual provisions; or
- otherwise improve the operation of the Service.
When material changes are made, ProHub Digital Solutions may provide notice through the Platform, email, the ClassNex website, or another reasonable method.
The updated Terms will identify the effective date of the changes.
Continued use of the Service after the effective date of updated Terms constitutes acceptance of the updated Terms to the extent permitted by applicable law.
If a school has a separate written commercial agreement with ProHub Digital Solutions, that agreement may contain additional or different requirements concerning amendments to the contractual relationship.
25. Governing Law and Jurisdiction
The applicable governing law and dispute-resolution provisions may depend on the customer's country, the nature of the services provided, and the applicable commercial agreement.
ClassNex may be used by customers in different African jurisdictions, and the laws applicable to the relationship may therefore vary.
Unless otherwise specified in a separate written agreement, the parties intend that applicable mandatory laws of the country in which the relevant school operates will continue to apply where required by law.
Where a separate written agreement between ProHub Digital Solutions and a school contains governing-law or dispute-resolution provisions, those provisions will control to the extent permitted by applicable law.
Nothing in these Terms prevents a party from exercising rights or remedies that cannot lawfully be waived under applicable law.
26. Data Protection and Privacy
The use of ClassNex may involve the processing of personal information relating to students, guardians, teachers, employees, school administrators, and other individuals whose information is entered into the Platform by or on behalf of a school.
ProHub Digital Solutions and schools are responsible for complying with the data-protection and privacy laws applicable to their respective roles and activities.
Where a school determines the purposes and means of processing personal information through ClassNex, the school generally acts as the data controller, responsible party, or equivalent entity under applicable law. ProHub Digital Solutions generally acts as a data processor, service provider, or equivalent entity when processing such information on behalf of the school.
The specific legal roles of the parties may vary depending on the applicable jurisdiction, the nature of the processing, and the requirements of applicable data-protection law.
Because ClassNex is intended to support schools across multiple African jurisdictions, applicable requirements may differ depending on where a school operates, where individuals are located, where information is collected or processed, and the nature of the information involved.
Such requirements may include applicable national data-protection legislation, regulations, regulatory guidance, children's privacy requirements, requirements concerning sensitive or special-category information, cross-border transfer requirements, data-subject rights, security obligations, breach-notification requirements, retention requirements, and other applicable privacy obligations.
Schools are responsible for determining the lawful basis for their collection and processing of personal information, providing required notices to individuals, obtaining consent where consent is required, complying with applicable requirements concerning children's information, and providing ProHub Digital Solutions with lawful instructions where ProHub processes information on the school's behalf.
ProHub Digital Solutions will process personal information submitted by or on behalf of a school through ClassNex in accordance with the applicable agreement, the school's lawful instructions, the ClassNex Data Processing Agreement ("DPA"), and applicable data-protection law.
The ClassNex Privacy Policy provides additional information concerning how ProHub Digital Solutions processes personal information for purposes for which ProHub acts as a controller or equivalent responsible entity, as well as other privacy-related practices associated with ClassNex.
Where ProHub Digital Solutions processes personal information on behalf of a school, the parties may enter into or become subject to a separate Data Processing Agreement ("DPA").
The DPA sets out additional provisions concerning the processing of school personal information by ProHub Digital Solutions, including processing instructions, confidentiality, security measures, subprocessors, data-subject requests, security incidents, international data transfers, data retention, and deletion.
Where there is a conflict between this section and a separately executed DPA concerning the processing of personal information on behalf of the school, the DPA will control to the extent necessary to address the applicable data-protection obligations.
27. African Data-Protection Compliance
ProHub Digital Solutions intends to operate and provide ClassNex in accordance with applicable data-protection and privacy requirements in the jurisdictions in which the Service is offered, subject to the specific legal requirements applicable to the relevant processing activities and the respective roles of the parties.
Depending on the location of the school, the location of Data Subjects, where Personal Data is collected, stored or processed, the nature of the processing activities, and other legally relevant circumstances, applicable requirements may include laws such as:
- the Nigeria Data Protection Act 2023;
- the Botswana Data Protection Act 2018, as amended, supplemented, or replaced from time to time;
- the Protection of Personal Information Act 2013 (POPIA) of South Africa;
- the Kenya Data Protection Act 2019;
- the Ghana Data Protection Act 2012;
- the Law relating to the Protection of Personal Data and Privacy of Rwanda;
- the Uganda Data Protection and Privacy Act 2019;
- other national or regional data-protection laws, regulations, regulatory requirements, and binding guidance applicable in African jurisdictions.
The laws and regulatory requirements listed above are provided for general informational purposes only. This list is illustrative and does not constitute an exhaustive list of data-protection laws that may apply to ClassNex, ProHub Digital Solutions, a school, or a particular processing activity.
The fact that a particular law is listed in these Terms does not mean that the law applies to every school, user, Data Subject, or processing activity conducted through ClassNex.
The applicable legal requirements will depend on factors including the relevant jurisdiction, the location of the School and Data Subjects, the parties' respective legal roles, the nature and purpose of the processing, the type of Personal Data involved, where the information is processed or stored, and applicable cross-border data-transfer requirements.
ProHub Digital Solutions will take reasonable steps appropriate to its role and responsibilities to maintain processes, safeguards, and contractual arrangements intended to support compliance with applicable data-protection requirements.
Where ProHub Digital Solutions processes Personal Data on behalf of a school, the parties' respective data-protection obligations may be further governed by the ClassNex Data Processing Agreement (DPA).
Schools remain responsible for complying with the data-protection and privacy requirements applicable to their own operations and processing activities, including requirements relating to lawful bases, privacy notices, children's information, Data Subject rights, retention, and other obligations applicable to the School's role.
Nothing in this section constitutes legal advice or a representation that ClassNex satisfies every requirement of every African data-protection law in every circumstance. Schools should obtain appropriate legal or professional advice where necessary to determine the requirements applicable to their particular operations and use of ClassNex.
28. Relationship With Other Agreements and Documents
These Terms govern the general access to and use of the ClassNex Service.
A school may also enter into additional agreements with ProHub Digital Solutions relating to its use of ClassNex, including:
- a subscription or commercial agreement;
- a Data Processing Agreement;
- an order form;
- a service agreement; or
- other written agreements relating to the ClassNex Service.
Where there is a conflict between these Terms and a separately executed written agreement, the separately executed written agreement will control to the extent that it expressly addresses the subject matter of the conflict.
Where a separately executed Data Processing Agreement ("DPA") applies to the processing of Personal Data on behalf of a school, the DPA will control over these Terms to the extent of any conflict concerning the processing of such Personal Data and the parties' respective data-protection obligations.
The ClassNex Privacy Policy provides information about how ProHub Digital Solutions handles personal information and should be read together with these Terms and, where applicable, the DPA.
The ClassNex documentation and user manual, including documentation made available through docs.classnex.com , may describe available features, system functionality, user roles, role-based permissions, workflows, procedures, and other aspects of the ClassNex Service.
The ClassNex documentation may be updated from time to time to reflect changes to the Platform, including the introduction, modification, or removal of features, roles, and permissions.
Unless expressly incorporated into a separately executed written agreement, the ClassNex documentation and user manual are provided primarily as product and operational documentation and do not create additional contractual rights or obligations.
The school acknowledges that the roles and permissions available within ClassNex are determined and maintained by ProHub Digital Solutions and that the school is responsible for selecting and assigning the available roles that are appropriate for its users and responsibilities.
In the event of an inconsistency between product documentation and the actual functionality of the ClassNex Platform, ProHub Digital Solutions may update the documentation or Platform as reasonably necessary to maintain consistency, security, functionality, or compliance with applicable requirements.
29. No Waiver
If ProHub Digital Solutions does not immediately enforce a provision of these Terms, that does not mean that ProHub Digital Solutions has waived its right to enforce that provision in the future.
Any waiver must be expressly communicated or otherwise legally established.
30. Severability
If any provision of these Terms is determined to be unlawful, invalid, or unenforceable under applicable law, that provision will be enforced to the maximum extent permitted by law.
The remaining provisions will continue in full force and effect to the extent permitted by applicable law.
31. Assignment
The school may not assign or transfer its rights or obligations under these Terms without the prior written consent of ProHub Digital Solutions, except where such restriction is prohibited by applicable law.
ProHub Digital Solutions may assign or transfer its rights and obligations under these Terms in connection with a merger, acquisition, restructuring, sale of substantially all relevant assets, corporate reorganization, or similar transaction, subject to applicable law.
32. Force Majeure
ProHub Digital Solutions will not be responsible for failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control.
Such circumstances may include:
- natural disasters;
- floods;
- fires;
- epidemics or pandemics;
- war;
- civil unrest;
- terrorism;
- government action;
- regulatory restrictions;
- telecommunications failures;
- internet infrastructure failures;
- power failures;
- cyberattacks;
- failures of third-party infrastructure; or
- other circumstances beyond ProHub Digital Solutions' reasonable control.
This section does not relieve either party from obligations that cannot legally be excused under applicable law.

By creating an account, accessing, or using ClassNex, you acknowledge that you have read and agree to these Terms of Service.
If you are accepting these Terms on behalf of a school or organization, you confirm that you have the authority to bind that school or organization.
Where applicable, use of particular ClassNex features may also require acceptance of additional terms, notices, agreements, or policies.
